Terms and conditions

§ 1 Scope. These terms apply to contracts of NITSAN GmbH, Bischofsweg 6, 01097 Dresden, Germany ("NITSAN"), for the RAGSuite Enterprise Edition, RAGSuite Engine (part B) and related services. They apply only to businesses (§ 14 German Civil Code), legal entities under public law and special funds under public law. The customer's own terms apply only if NITSAN agrees to them in text form.
§ 2 Community Edition. The RAGSuite Community Edition is licensed under the Apache License 2.0 and is free. Only that licence applies to it, including its disclaimer of warranty and liability; these terms do not.
§ 3 Conclusion of contract. NITSAN's offers are non-binding. The contract is concluded when the customer orders on the basis of an offer and NITSAN confirms in text form, at the latest when the licence key is provided.
§ 4 Licence. For the term of the contract, NITSAN grants the customer the simple, non-transferable right to use the Enterprise Edition on infrastructure it owns or commissions, for its own purposes, limited to the agreed number of users. Activation uses an offline licence key; no connection to NITSAN servers is required. Passing on, sublicensing and reselling are allowed only for partners under a partner agreement.
§ 5 Number of users. If the customer needs more users, it orders additional licences, charged pro rata to the end of the current period. Reductions take effect at the end of a contract period.
§ 6 Prices and payment. The prices in the offer or on the pricing page at the time of order apply, plus statutory VAT. NITSAN invoices the licence fee annually in advance; invoices are payable within 14 days without deduction.
§ 7 Term and termination. The contract runs for twelve months from provision of the licence key and renews for further twelve months unless terminated in text form with three months' notice to the end of the term. The right to terminate for good cause is unaffected. When the contract ends, the right to use the Enterprise Edition ends; the customer can keep working with the Community Edition, and its data stays in its environment.
§ 8 Support and updates. During the term the customer receives Enterprise Edition updates and email support in German and English on working days. Fixed response times (SLA), a named contact, air-gapped operation, white label and other services are agreed separately.
§ 9 Customer obligations. The customer provides and runs the infrastructure, backs up its own data and keeps credentials secret. It is responsible for the content it ingests into RAGSuite and for complying with the terms of the language-model providers it chooses.
§ 10 AI output. RAGSuite generates answers with language models from the customer's sources and names the source. Answers can be wrong or incomplete. The customer checks results before making decisions based on them and is responsible for their use.
§ 11 Liability. NITSAN is liable without limitation for intent and gross negligence, injury to life, body or health, under the Product Liability Act and to the extent of any guarantee given. For slightly negligent breach of material contractual obligations, obligations whose fulfilment makes proper performance of the contract possible and on which the customer may regularly rely, liability is limited to the typical, foreseeable damage. Otherwise liability for slight negligence is excluded. For loss of data, NITSAN is only liable for the effort that would have been needed had the customer backed up its data properly.
§ 12 Defects. NITSAN remedies defects in the Enterprise Edition at its choice by repair, update or workaround. Claims for defects become time-barred after twelve months, except in the cases of § 11 sentence 1.
§ 13 Data protection. If the customer runs RAGSuite itself, it processes the data under its own responsibility; the software sends no telemetry to NITSAN. If NITSAN gets access to personal data, for example in support, the parties sign a data processing agreement under Art. 28 GDPR (see DPA).
§ 14 Confidentiality. Both parties keep the other party's confidential information confidential, also after the contract ends.
§ 15 References. NITSAN may name the customer as a reference only with its consent.
§ 16 Final provisions. German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. Exclusive place of jurisdiction for all disputes under this contract is Dresden. Changes and additions require text form. If a provision is invalid, the rest of the contract remains valid.

Part B: RAGSuite Engine

§ B1 Service. NITSAN provides RAGSuite as an online service, run in a data centre in Germany ([data centre to follow]), with the full feature set of the chosen plan. The customer needs no infrastructure of its own. Unless this part says otherwise, §§ 3, 10, 11, 14, 15 and 16 apply accordingly.

§ B2 Trial. The customer can try the RAGSuite Engine free for 7 days and without providing a payment method. The trial ends automatically. If the customer orders no plan, its data is deleted after [period to follow].

§ B3 Plans, credits and AI usage. RAGSuite Engine is charged as a plan (Starter, Business or Premium) per month: €39, €169 or €399 when billed yearly, €45, €195 or €459 when billed monthly, each plus statutory VAT. The Enterprise plan is agreed individually. Each plan includes a fixed number of users and shared pools of credits and storage per workspace. Use of language models and embeddings consumes credits from the pool. With your own API key (BYOK), where enabled for the plan, no credits are consumed; costs at the model provider are borne by the customer. § B4 Users. Up to 250 users, the customer can order and adjust plans itself. Above that, NITSAN offers the Enterprise Edition or a dedicated instance.

§ B5 Prices and payment. The prices on the pricing page at the time of order apply, plus statutory VAT. Billing and payment method: [billing to follow].

§ B6 Term and termination. [term and notice to follow]. The right to terminate for good cause remains unaffected.

§ B7 Availability and support. NITSAN runs the RAGSuite Engine with an availability of [availability to follow]. NITSAN announces planned maintenance in advance. The customer receives email support in German and English on working days.

§ B8 Data and processing. NITSAN processes the customer's content as a processor under the data processing agreement (see DPA), which forms part of this contract. Customer content is not used to train language models.

§ B9 Export and deletion. The customer can export its data during the term. After the end of the contract: [export and deletion period to follow].

§ B10 Customer obligations. The customer keeps credentials secret, uploads only content it is entitled to process and checks AI output under § 10 before making decisions based on it.
